Introduction
- We are Thairo Studios (Chamber of Commerce 42027881), Minerva 11, 6121NP Born, the Netherlands.
- In this document, we refer to ourselves as "we" or "Thairo Studios" and to you as "you" or "client".

Scope of Application
- Applies to every offer, quotation, and agreement with Thairo Studios.
- Under 18? We require written consent from your legal representative(s).
- Your own purchase terms? Not applicable.

How We Work Together
- An agreement is formed as soon as you (digitally) sign our offer.
- We often require startup costs or a deposit. If you cancel after signing, these remain due.
- Subscriptions run for a standard 12 months and renew automatically for the same period.
- Cancellation must be done in writing, at least 2 months before the end of the term.
- Pausing a subscription is not possible unless we confirm this in writing.
- We deliver with care and speed, but do not guarantee specific results.
- We may engage specialists (third parties).
- You provide all information and files on time via our file system.
- You may use our premium plug-ins during an active subscription.

Start, Duration and Upgrades
- Your subscription starts the day after signing, unless we agree otherwise.
- If you upgrade mid-term, your new contract date starts from the upgrade date.
- Pausing: only possible with our written approval.

What You Can Expect from Us
- We work carefully, as agreed, and with short communication lines.
- Deadlines are indicative (not hard deadlines), unless explicitly agreed otherwise.
- Working in phases? We only start the next phase after your written approval of the previous one.

What We Need from You
- Provide all relevant information on time and in the requested format.
- We do not verify the accuracy of your input; consequences of errors cannot be claimed from us.
- Report changes to your details within 5 business days.
- Report (suspected) misuse of login credentials immediately.
- Everything that happens via your account is your responsibility (except in case of security failures on our part).

Code of Conduct & Misuse
- Use our services lawfully and properly.
- No malware, defamation/hate speech, illegal content, privacy violations, IP infringement, misleading AI content, or disproportionate system load.
- We may suspend services, remove content, or block access.
- We may charge costs for damage recovery.
- In case of criminal acts, we may file a police report.

Pricing & Payment
- Prices are exclusive of VAT (inclusive for consumers as indicated).
- Rates are stated in your offer/agreement.
- Before we start: startup costs/deposit must be fully paid.
- Projects: deposit via iDEAL or bank transfer.
- Payment term: 14 days after invoice date.
- We may change prices (not within the first 3 months). Minimum 30 days' notice.

If Payment Fails
- Not paid on time = default (without further notice).
- Interest: 1.5% per month (for consumers: statutory interest).
- All our claims become immediately due.
- More than 2 months overdue: we may suspend work and take your site offline.
- AI agents: 5 days after payment date we may interrupt the service.
- Extrajudicial costs: minimum 15% of principal amount (min. EUR 250).
- 3 failed SEPA direct debits: EUR 35 administration costs per 3 direct debits.
- Payment still outstanding? We transfer the claim to a debt collection partner.

Maintenance & SLA
- Maintenance is included in a separate SLA, where applicable.
- We maintain products that we have created ourselves.
- Third-party products only after written acceptance by us.

Liability
- We are not liable for damages, except in cases of intent or deliberate recklessness.
- No liability for indirect/consequential damages or force majeure.
- Damage caused by third parties or third-party products: at your risk.
- Maximum limited to insurance payout or 12 months' subscription fees.
- Claims expire after 12 months, unless you initiate legal proceedings in time.
- Report damage in writing: consumers within 2 months, business within 2 weeks.
- Own modifications that go wrong: repair charged at cost.
- AI agent output may be incorrect or incomplete; you assess and use it at your own discretion.

Force Majeure
- Examples: war, terrorism, pandemics, government measures, outages, cyber attacks.
- Obligations are suspended; we do not compensate for damages.
- More than 60 days: both parties may (partially) dissolve the agreement.
- Work already completed is compensated pro rata.

Intellectual Property
- IP rights to materials developed by us remain our property.
- Stop your subscription and want to take over the website (without AI): EUR 500 in year 1; free from year 2.
- Transfer only after full payment.
- AI agents and plug-ins are expressly excluded from transfer.
- Until transfer: do not copy, modify, publish, or share.

Confidentiality
- We treat confidential information confidentially.
- Exceptions: already public, lawfully owned, received from third parties, legally required.
- Obligation also applies to our partners; minimum 5 years after end of cooperation.

Privacy
- We process your personal data in accordance with the GDPR.

Complaints, Law & Disputes
- Complaint? Email within 14 days to support@thairostudios.com.
- We respond promptly and seek a solution.
- Dutch law applies.
- Our log files and administration constitute full evidence, unless proven otherwise.
